Provider Terms & Conditions

These Provider Terms & Conditions ("Terms") apply to all care providers, care homes, nursing homes, home care providers, live-in care providers and other organisations ("Provider") using Respite-care.co.uk.

By signing a Provider Agreement, registering an account or using the Respite-care.co.uk platform, the Provider agrees to these Terms.

1. About Respite-care.co.uk

Respite-care.co.uk is an online platform designed to connect people seeking respite care and related care services with suitable care providers.

Respite-care.co.uk does not itself provide regulated care services and does not employ, manage or supervise the Provider's staff.

The Provider remains solely responsible for the care services it provides.

2. Enquiry Fees

The Provider agrees to pay an Enquiry Fee for each qualifying enquiry referred to the Provider through Respite-care.co.uk.

The applicable Enquiry Fee will be displayed to the Provider before the Provider subscribes to or uses the relevant service and/or will be set out in the Provider Agreement.

Unless otherwise agreed in writing, the Enquiry Fee is payable when a qualifying enquiry is referred to the Provider and is not dependent upon the enquiry resulting in a telephone conversation, assessment, booking, placement, admission or payment by the prospective client.

Respite-care.co.uk does not charge a commission on the value of any care package or placement unless expressly agreed otherwise.

3. What Constitutes an Enquiry

An enquiry may be generated where a prospective client, family member, professional or other authorised person provides their details and care requirements through Respite-care.co.uk and the enquiry is subsequently referred to a Provider.

An enquiry may include, where available:

name and contact details;

postcode or geographical location;

required type of care;

requested dates or duration;

care requirements;

preferred location;

number of people requiring care; and

other information voluntarily provided by the enquirer.

An enquiry may be generated through the Respite-care.co.uk website, enquiry forms, Provider profile interactions, platform messaging, email, telephone or other channels operated by Respite-care.co.uk.

4. Direct and Distributed Enquiries

Where an individual specifically selects or requests a particular Provider, the enquiry may be sent directly to that Provider.

Where an individual does not select a specific Provider, Respite-care.co.uk may refer the enquiry to up to three suitable Providers.

Unless expressly stated otherwise, enquiries are non-exclusive.

A Provider may therefore receive an enquiry that has also been referred to other Providers.

5. Enquiry Allocation

Respite-care.co.uk determines which Providers receive enquiries.

Selection may consider:

geographical location;

proximity to the person requiring care;

care type;

care requirements;

Provider availability;

service specialisms;

reviews and ratings;

profile information;

regulatory status;

previous responsiveness; and

other relevant factors.

Respite-care.co.uk may generally seek Providers within approximately five miles of the relevant location where suitable Providers are available.

This is a general guideline only and Respite-care.co.uk may expand or reduce the geographical area where appropriate.

Respite-care.co.uk does not guarantee that every Provider in an area will receive an enquiry.

6. Enquiry Tracking

Where an enquiry is submitted through Respite-care.co.uk, the platform may record the enquiry, the date and time it was generated, the Provider(s) to whom it was referred and relevant communication or interaction with the enquiry.

Where applicable, enquiries and related communications may be displayed within the Provider's Respite-care.co.uk account and/or forwarded to the Provider's nominated email address.

The Provider agrees that platform records may be used by Respite-care.co.uk to determine whether an Enquiry Fee is payable.

7. When an Enquiry Fee Is Payable

An Enquiry Fee becomes payable where Respite-care.co.uk has successfully generated and referred a qualifying enquiry to the Provider.

An enquiry will generally be considered delivered where:

the prospective client has submitted their information through the platform or another Respite-care.co.uk channel;

the enquiry meets the applicable criteria for referral; and

the enquiry has been made available to the Provider through the platform, email or another agreed communication method.

The Provider cannot avoid an Enquiry Fee by failing to open, read or respond to an enquiry.

8. Duplicate, Invalid or Incorrect Enquiries

Respite-care.co.uk recognises that, occasionally, an enquiry may contain inaccurate, incomplete or duplicated information.

The Provider must notify Respite-care.co.uk within [48 hours / 3 working days] of receiving an enquiry if it believes the enquiry is materially invalid or has been incorrectly charged.

Respite-care.co.uk may, at its discretion, review the enquiry and issue a credit or adjustment where it considers this appropriate.

The following will not normally constitute grounds for a refund or credit:

the Provider did not answer the enquiry;

the Provider was unavailable;

the Provider did not have sufficient capacity;

the Provider decided not to contact the enquirer;

the enquirer did not respond to the Provider;

the enquirer selected another Provider;

the enquiry did not result in a booking; or

the Provider was unable to meet the individual's requirements.

9. No Guarantee of Conversion

Respite-care.co.uk does not guarantee that any enquiry will result in:

a telephone conversation;

an assessment;

a quotation;

a booking;

a placement;

an admission;

a care package;

revenue; or

any other business.

The Provider acknowledges that the Enquiry Fee relates to the introduction of a prospective client, rather than the successful conversion of that client.

10. Provider Responsibilities

The Provider must:

maintain accurate information on its Respite-care.co.uk profile;

maintain appropriate registration and regulatory status;

maintain appropriate insurance;

comply with applicable CQC requirements where relevant;

comply with safeguarding requirements;

provide accurate information to users;

respond professionally and promptly to enquiries;

maintain appropriate staffing and resources;

comply with applicable data protection legislation; and

notify Respite-care.co.uk of any material change affecting its ability to provide advertised services.

11. Provider and Client Relationship

Once an enquiry is received, the Provider is responsible for dealing directly with the prospective client.

Any assessment, quotation, booking, placement, care contract or other arrangement is between the Provider and the client.

Respite-care.co.uk is not a party to that arrangement.

The Provider is solely responsible for determining whether it can safely and appropriately meet the client's needs.

12. Data Protection

Each party must comply with applicable UK data protection legislation, including the UK GDPR and Data Protection Act 2018.

Information received through Respite-care.co.uk must only be used for legitimate purposes connected with responding to the enquiry and considering or providing the requested care service.

The Provider must keep personal information secure and must not sell, transfer or disclose enquiry information unlawfully.

The Provider must not use enquiry information for unrelated marketing unless it has an appropriate lawful basis and complies with applicable marketing legislation.

The Provider must notify Respite-care.co.uk promptly of any relevant personal data breach involving information received through the platform.

13. Platform Use

The Provider must keep its login details secure.

The Provider must not:

share login details with unauthorised persons;

attempt to access another Provider's account;

interfere with the platform;

introduce malicious software;

scrape or copy platform data;

reverse engineer the platform; or

use the platform for unlawful purposes.

Respite-care.co.uk may suspend access where necessary for maintenance, security or operational reasons.

14. Provider Content

The Provider is responsible for information, photographs, logos and other content supplied to Respite-care.co.uk.

The Provider confirms that it has the necessary rights to provide such content.

Respite-care.co.uk may remove information that is unlawful, misleading, inaccurate or inappropriate.

The Provider grants Respite-care.co.uk a non-exclusive right to use Provider information and branding for operating and promoting the Provider's listing and the platform.

15. Reviews

Respite-care.co.uk may display reviews and ratings relating to Providers.

Providers must not create, purchase, manipulate or submit false reviews.

Respite-care.co.uk may remove content it reasonably believes to be false, misleading, unlawful or inappropriate.

16. Complaints

Complaints relating to care services must normally be dealt with by the Provider under its own complaints procedure and applicable regulatory requirements.

Complaints concerning the Respite-care.co.uk platform may be submitted directly to Respite-care.co.uk.

Respite-care.co.uk may investigate complaints concerning Provider conduct and may suspend a Provider while investigating serious concerns.

17. Suspension and Termination

Respite-care.co.uk may suspend or terminate a Provider where:

Enquiry Fees remain unpaid;

the Provider breaches these Terms;

the Provider provides materially inaccurate information;

regulatory requirements are no longer met;

there are serious complaints or safety concerns;

personal information is misused;

the Provider engages in unlawful or inappropriate conduct; or

continued access creates a material risk to users or Respite-care.co.uk.

Either party may terminate the Provider Agreement by providing 30 days' written notice, unless otherwise agreed.

Termination does not remove any outstanding payment obligations for enquiries already referred.

18. Payment

Enquiry Fees will be invoiced in accordance with the Provider Agreement or applicable payment schedule.

The Provider agrees to pay all undisputed invoices within the specified payment period.

Respite-care.co.uk may suspend the Provider's account where payment remains overdue.

Any applicable VAT will be charged in addition to the Enquiry Fee.

19. Limitation of Liability

Respite-care.co.uk does not accept responsibility for the Provider's care services, staff, premises, regulatory compliance, client relationships or contractual arrangements.

To the extent permitted by law, Respite-care.co.uk shall not be liable for indirect or consequential loss, loss of profits, loss of revenue, loss of business, loss of opportunity or loss arising from an enquiry failing to convert.

Nothing in these Terms excludes liability that cannot legally be excluded.

Subject to applicable law, Respite-care.co.uk's total liability shall not exceed the total Enquiry Fees paid by the Provider during the 12 months preceding the event giving rise to the claim.

20. Provider Indemnity

The Provider agrees to indemnify Respite-care.co.uk against claims, losses, costs and expenses arising from the Provider's:

provision of care services;

breach of these Terms;

breach of applicable law;

misuse of personal information;

negligence or misconduct; or

inaccurate or misleading information.

This does not apply to the extent that the loss results from Respite-care.co.uk's own negligence, fraud or wilful misconduct.

21. Changes to the Terms

Respite-care.co.uk may update these Terms where reasonably necessary due to changes in law, regulation, the platform, services, security requirements or business operations.

Material changes will be notified to Providers where reasonably practicable.

The updated Terms will be published on the Respite-care.co.uk website.

22. Intellectual Property

All intellectual property in the Respite-care.co.uk website, platform, branding, software, content and systems belongs to Respite-care.co.uk or its licensors.

The Provider does not acquire ownership rights by using the platform.

23. No Partnership or Agency

Nothing in these Terms creates a partnership, joint venture, employment relationship or agency relationship between Respite-care.co.uk and the Provider.

The Provider must not represent that it has authority to bind Respite-care.co.uk.

24. General

If any provision is found to be invalid or unenforceable, the remaining provisions shall continue to apply.

A failure to enforce a provision does not constitute a waiver.

The Provider may not transfer its agreement without Respite-care.co.uk's written consent.

Respite-care.co.uk may transfer the agreement as part of a sale, restructuring or transfer of the platform.

25. Governing Law

These Terms are governed by the laws of England and Wales.

The courts of England and Wales shall have jurisdiction over disputes, subject to any mandatory legal rights available to either party.
